Terms of Service
These terms govern your access to and use of ProntoChat's managed live chat service, including the free trial, pricing, and the responsibilities of each side.

These terms are a customary starting version that reflects how ProntoChat operates. They are general information, not legal advice, and may be updated as our service evolves.
1. Acceptance of these terms
These Terms of Service ("Terms") govern your access to and use of the services provided by ProntoChat ("ProntoChat", "we", "us"). By using our service, booking a demo, starting a trial, or signing up for a plan, you agree to these Terms. If you are agreeing on behalf of a business, you confirm that you are authorized to bind that business.
2. The service
ProntoChat provides a managed live chat and answering service. Depending on your plan and setup, the service may include:
- Live chat staffed by real human agents together with AI, available 24/7
- Lead capture and qualification against the criteria you set
- Appointment booking onto your calendar
- Call-connect that bridges a qualified lead to your team
- Delivery of leads and full transcripts into your CRM
- A chat widget styled to match your website
We may improve, change, or discontinue features over time. We aim to give reasonable notice of material changes that affect how you use the service.
3. Plans, billing, and free trial
Free trial. New clients may start with a 14-day free trial with no setup fee and no obligation. If the service is not the right fit, there is nothing to pay.
Pricing. After any trial, you may use pay-per-lead at $20 per qualified, exclusive lead, or choose a monthly plan (Starter, Growth, or Pro). Monthly plans include a set number of leads, and additional leads are billed at the plan's overage rate. All prices are in US dollars (USD).
No setup fee, no long-term contract. We do not charge a setup fee, and plans are not locked into a long-term contract. You can change plans or cancel at any time, and cancellation stops future charges. Fees already incurred for leads delivered or services rendered remain payable.
What qualifies. We agree with you on what counts as a qualified lead before you go live. Off-criteria visitors and spam are screened out and are not billed. Exact billing mechanics are confirmed with you at onboarding.
4. Exclusive leads
Every lead we deliver to you is exclusive to your business. We do not resell or share your leads with any other company. This is different from a lead marketplace that sells the same lead to several buyers.
5. Your responsibilities
When you use the service, you agree to:
- Provide accurate business information and keep it current
- Use the service lawfully and only for your legitimate business
- Comply with the laws that apply to your business and to the personal data of your customers, including providing any required privacy notices and consents
- Keep your account credentials and any integrations secure
You are responsible for how you use the leads, transcripts, and other information the service delivers to you.
6. Acceptable use
You may not use the service to send unlawful, deceptive, harassing, or infringing content, to violate anyone's privacy or rights, to attempt to disrupt or reverse engineer the platform, or to break any applicable law. We may suspend or end service for conduct that violates these Terms or puts the service, our team, or others at risk.
7. Intellectual property
ProntoChat owns its platform, software, chat widget, workflows, and brand. We grant you a limited, non-exclusive, non-transferable right to use the service while your account is active. You own your business data and the leads and transcripts we deliver to you. You grant us the limited right to process that data as needed to provide the service.
8. Third-party services
The service relies on third parties such as Clover for payments, your CRM for lead delivery, Twilio for call-connect, and our booking and trial platforms. Your use of those services is also subject to their own terms and policies. We are not responsible for third-party services we do not control.
9. Disclaimers
We work hard to deliver a reliable, high-quality service, but the service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee a specific number of leads, conversions, or business results, which depend on many factors outside our control.
10. Limitation of liability
To the maximum extent permitted by law, ProntoChat will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the service will not exceed the amount you paid us for the service in the three months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
11. Termination
You may stop using the service and cancel at any time. We may suspend or terminate the service if you breach these Terms, fail to pay, or use the service unlawfully. On termination, your right to use the service ends. Provisions that by their nature should survive, such as payment obligations, intellectual property, disclaimers, and limitation of liability, will survive.
12. Governing law
These Terms are governed by the laws of the State of California and applicable United States federal law, without regard to conflict-of-law rules. The exclusive venue for disputes will be the state and federal courts located in California, unless applicable law requires otherwise.
13. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the date at the top of the page. Your continued use of the service after an update means you accept the revised Terms.
